Legal terms
Terms of Service
The terms that apply when you access TSEC’s website, purchase digital products, or use our resources.
1. Scope and acceptance
These Terms of Service (“Terms”) apply to your access to and use of the TSEC website, digital downloads, templates, workbooks, presentations, tools, and other products or services offered by TSEC Risk & Cyber Advisory LLC (“TSEC,” “we,” “us,” or “our”). By accessing the website, placing an order, downloading a product, or using a product, you agree to these Terms. If you do not agree, do not use the website or purchase or use our products.
If you purchase on behalf of a company or other organization, you confirm that you have authority to bind that organization. In that case, “you” includes the organization.
2. Products and permitted use
TSEC products may include policy and procedure templates, checklists, control mappings, risk registers, assessment workbooks, dashboards, presentations, and other digital resources designed to help organizations develop or improve security, risk, governance, and compliance programs. The exact contents and formats of each product are described on its product page at the time of purchase.
Unless a product page or separate written agreement says otherwise, a completed purchase grants the purchaser a limited, non-exclusive, non-transferable license to use the purchased materials internally within the purchasing individual’s organization. You may adapt the materials for your organization’s internal business purposes.
You may not resell, sublicense, publish, distribute, share externally, or commercially exploit the original files or substantially similar copies as a standalone product or template library. You may not remove proprietary notices, misrepresent TSEC materials as your own products for resale, or use the materials unlawfully. If you need multi-entity, client-delivery, redistribution, or other expanded rights, contact us for written permission.
3. Orders, payment and delivery
Prices, product descriptions, and included deliverables are displayed on the applicable product page and may change for future purchases. The price and product description presented during checkout apply to your order, subject to correction of obvious errors and applicable law.
Payments may be processed by Paddle or another payment provider identified during checkout. Where Paddle acts as the merchant of record, Paddle may handle payment processing, applicable transaction taxes, receipts, and other checkout functions under its own terms and policies. The checkout page will identify the applicable payment arrangements.
Digital products are generally made available electronically after successful payment. Delivery may be by download link, confirmation page, or email. You are responsible for providing a working email address, maintaining access to it, and using compatible software to open the advertised file formats. If a download link does not work or files are missing or corrupted, contact us so we can help resolve the issue.
4. Updates and compatibility
Any included updates, revision period, or support commitment will be stated on the relevant product page or in a separate written agreement. Unless expressly stated, a purchase does not include perpetual updates, individualized consulting, implementation, audit services, legal advice, or a commitment to revise materials whenever a law, regulation, standard, or framework changes.
Standards and regulatory requirements can change. You are responsible for checking whether materials remain appropriate for your organization, its jurisdiction, its scope, and the version of a standard or regulation applicable to it.
5. No legal, audit or certification guarantee
TSEC materials are informational and operational resources. They are not legal advice, a legal opinion, an official interpretation of a standard, a certification, an audit opinion, or a substitute for advice from qualified legal, compliance, privacy, accounting, or other professional advisers. References to standards or frameworks do not imply endorsement by their owners.
Using a template or completing a checklist does not by itself establish compliance or prove that a control is designed or operating effectively. Certification, attestation, regulatory acceptance, and audit outcomes depend on your circumstances, implementation, evidence, and the independent decisions of regulators, auditors, certification bodies, customers, or other third parties. TSEC does not guarantee any such outcome.
6. Intellectual property and restrictions
Except for third-party materials identified as such, the website and TSEC-created content, design, text, organization, and product files are owned by TSEC or licensed to TSEC and are protected by applicable intellectual-property laws. Purchasing a product grants only the license described in these Terms; it does not transfer ownership or copyright.
You must not use our products to violate another party’s rights, attempt to gain unauthorized access to systems, distribute malware, or engage in unlawful activity. You must not misrepresent your relationship with TSEC or claim that TSEC has reviewed, approved, or certified your organization unless we have expressly agreed to that statement in writing.
7. Disclaimers and liability
To the maximum extent permitted by applicable law, the website and products are provided “as is” and “as available.” TSEC does not warrant that every resource will fit every organization, satisfy every legal or regulatory requirement, be error-free, or produce a particular result. We do not exclude warranties or rights that cannot lawfully be excluded.
To the maximum extent permitted by law, TSEC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, business opportunities, data, goodwill, or business interruption arising from or related to use of the website or products. To the maximum extent permitted by law, TSEC’s aggregate liability for a claim relating to a specific product will not exceed the amount paid to TSEC or the applicable merchant of record for that product. These limitations do not apply where prohibited by law, including liability that cannot legally be limited.
You remain responsible for your organization’s decisions, risk assessments, controls, implementation, evidence, regulatory obligations, and use of the materials.
8. Third-party services and links
The website may link to or rely on third-party services, including payment, hosting, email, or file-delivery providers. Those services are operated by their respective providers and may be subject to separate terms and privacy notices. TSEC is not responsible for third-party websites or services to the extent permitted by law.
9. Suspension and termination
We may suspend access to the website or a service where reasonably necessary to protect security, prevent fraud or unlawful activity, enforce these Terms, or comply with law. Termination does not remove rights or obligations that accrued before termination. Any license granted for a properly purchased product remains subject to these Terms unless law or a separate written agreement requires otherwise.
10. Governing law, changes and general terms
These Terms are governed by the laws of the State of New York, United States, without regard to conflict-of-law rules, except where mandatory law provides otherwise. Any dispute will be handled by a court with appropriate jurisdiction, subject to any non-waivable consumer rights or mandatory venue rules.
We may update these Terms from time to time. The “Effective date” above indicates when this version took effect. Changes apply prospectively from publication unless applicable law requires otherwise. If a provision is found unenforceable, the remaining provisions will continue to apply to the extent permitted by law. A failure to enforce a provision is not a waiver of that provision.
These Terms, together with the applicable product description, checkout disclosures, and any separate written agreement, describe the terms governing your use of TSEC products. If documents conflict, mandatory law controls, followed by any specific written agreement and then the applicable product-specific terms.
